Eligibility Criteria for a Company Secretary in Malaysia

If you plan on establishing a company in Malaysia, it is mandatory by Malaysian law to appoint a company secretary within 30 days of incorporation, according to the Companies Act 2016. The company secretary is pivotal in ensuring that the company abides by all rules and regulations.

The individual selected for performing corporate secretarial duties must fulfill the stringent prerequisites set by the Malaysia Companies Act 2016. The company secretary should be a resident of Malaysia, aged 18 or above, and either a Malaysian citizen or a permanent resident. They must be a qualified chartered accountant or registered with one of the professional bodies, namely the Malaysian Institute of Accountants (MIA), the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA), or the Company Commission of Malaysia.

The Role of a Company Secretary

In Malaysia, the company secretary shoulders multiple responsibilities. Primarily, the company secretary is responsible for ensuring that the organization fully complies with all corporate legislations and regulations in Malaysia. Additionally, they must keep the company’s board members informed about their legal obligations to the company.

The company secretary also acts as the company’s compliance officer, ensuring that the duties of the company’s chairperson and board members are carried out in line with the law, corporate governance rules, and listing requirements.

The company secretary is required to ensure that the company conducts its mandatory meetings punctually. Furthermore, the company secretary is responsible for ensuring that the firm and its directors adhere to the Malaysia Company Constitution.

In case of any changes within the company’s structure, the company secretary must update the company’s statutory registers. The modifications to the statutory information must be duly completed in the relevant forms mandated by the law and submitted to Suruhanjaya Syarikat Malaysia (SSM) within a specified timeframe.
