Eligibility Requirement of Malaysia Company Secretary

If you are considering setting up a company in Malaysia, it is mandatory by Malaysia Law to appoint a company secretary within 30 days after the date of incorporation under the Companies Act 2016. The company secretary plays an important role to ensure the Company is in compliance with rules and regulations.

The person chosen to conduct corporate secretarial services has to adhere to the strict requirements of the Malaysia Companies Act 2016. The company secretary must be over the age of 18 and residence in Malaysia as Malaysia citizen or permanent resident. They must be qualified chartered accountant or registered either one of the professional body which are Malaysian Institute of Accountants (MIA), Malaysian Institute of Chartered Secretaries and Administrators (MAICSA), and Company Commission of Malaysia.

The role of the company secretary

The company secretary has many duties in Malaysia. First and foremost, the company secretary will have to ensure that the organization is in full compliance with all of Malaysia’s corporate legislations and regulations. They will also have to keep the firm’s board members up to date on their legal responsibilities to the company.

The company secretary must also take up the responsibility of being the company’s compliance officer. This means the company’s chairperson and board members will rely on the company secretary to ensure that their duties are being carried out in accordance with the law, corporate governance rules and listing requirements.

The company secretary must ensure that the business holds its legally required meetings on time. In addition to this, the company secretary must make sure that the firm itself and its directors adhere to the Malaysia Company Constitution.

The company secretary must update the statutory registers of company if occur changes within the structure of the company. The changes statutory information needs to be complete in the relevant forms that are prescribed by the law and lodge with Suruhanjaya Syarikat Malaysia (SSM) within a given period.
