Please Be Aware of New Types of Fraud Involving “Transfer of Limited Company Shareholder Contributions, Changes of Responsible Persons, and Seal Changes."
Taipei City Hall alerted investors quoting the recent case that some original shareholders of limited companies reported their company registrations and seals were changed without permission. Please pay attention to these new fraud methods and be aware of followings to prevent scams:
- Keep the company’s and responsible person’s registered seals safe.
- Regularly check the company registration information on the Ministry of Economic Affairs’ online business registration inquiry system, or subscribe to the “Business Registration Change Notification” to ensure the company data is correct and any changes are known.
- Keep company seals registered on bank account safe and watch for any changes in your account to prevent illegal seal changes or unauthorized withdrawals, which can affect your company’s operation and rights.
Also, to prevent such fraud, when applying for changes like appointing new directors, the company must submit a copy of the original responsible person’s identification document such as ID card. For cases involving transfer of shareholder contributions, appointing new directors, amending articles of incorporation, or changing company name or seal registration, shareholder consent letters must have the original responsible person’s registered seal. If the original seal is lost, a signed declaration and a copy of the original responsible person’s ID must be provided.
Additionally, the City hall’s registration counter has stopped accepting walk-in applications for these changes to strengthen prevention of unauthorized changes and fraud.
