Change of Company Particulars of a HK Company
Companies Registry (CR) provides “One-stop notification of change of company particulars” services for changing the company name or registered address of a company incorporated in Hong Kong.
After the related notification of change of company particulars is registered under the Companies Ordinance, CR will transmit such particulars to the Inland Revenue Department (IRD) directly. This service saves companies the time and effort of lodging separate notifications with both CR and IRD.
Change of Company Name
The company is required to pass a Special Resolution to change the company name and deliver a Form NNC2 with the fee to CR for registration within 15 days after passing the Special Resolution. The Certificate of Change of Company Name will be issued in electronic form or hard copy form depends on the method of delivery of the NNC2. Normally, IRD will send out the amended Business Registration Certificate by post on the next working day after the date of Certificate of Change of Name issued.
Change of Registered Address
Every company incorporated in Hong Kong must have a registered office address in Hong Kong. The company is required to deliver a Form NR1 to CR within 15 days for reporting if the registered address is changed. CR will transmit the registered office address of the company to the BR office after the Form NR1 is registered.Normally, IRD will send out the amended Business Registration Certificate by post on the next working day after registration of the electronic Form NR1 by the CR.
If only the business address of the company has been changed but the registered office address remains the same, it is not required to be reported to the CR under the Companies Ordinance. The company should notify the Business Registration Office by submitting a written notification or a completed Form IRC3111A directly.
